Welcome to Skillarea. Before using our service, please take a moment to familiarize yourself with this User Agreement.

This Agreement establishes a legally binding contract between you, referred to as the "User" or "You," and SKILLAREA LLC, referred to as "Skillarea," the "Company," or "Us," governing your access to and use of the games provided by the Company. By accessing or using the Service, you agree to be bound by the terms and conditions of this Agreement. If you disagree with these terms, please refrain from accessing or using the Service.

Usage Terms

These Usage Terms delineate the acceptable use of our Services, encompassing access to games created, operated, or published by Skillarea. Each of Skillarea's online services shall be referred to as the "Service" or "Services." By engaging with any aspect of our services, you confirm that you have thoroughly reviewed, comprehended, and agreed to abide by these Terms. Furthermore, you expressly consent to the collection, use, and storage of your information in accordance with Skillarea's Privacy and Cookie Policy. Your engagement with our services collectively constitutes your acknowledgment and acceptance of these terms, "YOUR ACCEPTANCE."

Definitions

To ensure clarity and mutual understanding, the following terms are defined herein:

Application/Website ("Application"): Refers to a computer program comprising various sections, collectively forming a suite of services enabling users to access and use the application alongside its offered services. Access to the Application is facilitated remotely over the Internet through third-party mobile platforms.
Games: Certain games, expressly excluding gambling games, encompass computer programs designed for various platforms, including personal computers and games available on mobile devices.
Gaming Profile: Categorized as an integral component of the User Account, the "Gaming Profile" comprises detailed information pertaining to the User, inclusive of their participation in Tournaments.
Tournament Organizer: Skillarea bears responsibility for initiating and managing Tournaments within the Application/Website.
Tournament: Signifies organized competitive events hosted within the Application, wherein Users can compete against each other to achieve specific objectives or goals.
User: Refers to any individual accessing or using the Application, whether as a registered account holder or as a guest user. Users interact with the Service to engage in gameplay, socialize with other users, and participate in various features and activities offered by Skillarea.
User Consent: Represents the express agreement provided by Users to Skillarea for the collection, processing, and use of their personal data in accordance with the Privacy Policy and applicable laws and regulations.
Data Protection: Encompasses the measures and protocols implemented by Skillarea to safeguard the confidentiality, integrity, and availability of Users' personal data, as outlined in the Privacy Policy.
Intellectual Property Rights: Denotes the legal rights associated with creations of the mind, including but not limited to copyrights, trademarks, patents, and trade secrets, held by Skillarea in relation to the Application and its content.
Third-Party Platform: Any platform managed by a third party, where Users can access and download Games, including platforms such as Steam, cloud-based platforms providing online access to Games through remote servers, and other similar platforms facilitating the gaming experience.
Service: Refers to the features, functionalities, and content provided within the Application, including but not limited to gameplay, social features, in-app purchases, and customer support. The Service encompasses all aspects of the User experience within the Skillarea platform, aimed at providing an engaging and enjoyable gaming environment for Users.

User Registration Implementation

Registration

User must create an Account, which includes filling out a registration form or creating an Account using social media credentials, if registration via social networks is available.
Upon Account registration, Users have the opportunity to furnish information they consider necessary to establish their identity as distinct users of the Application. This encompasses both mandatory fields outlined in the registration form and any additional details Users deem relevant for their unique identification within the platform.
Skillarea may confirm receipt of the online application for Account creation electronically via email or SMS to the phone number provided by the User, excluding Accounts created via social media credentials.
In the event of password loss for an Account created by the User through a social network used for Application access, password recovery shall adhere exclusively to methods stipulated by the relevant regulations of that social network.
Skillarea reserves the right to change and supplement the methods of Account creation, unless otherwise explicitly provided by applicable laws.
Each User may use the Application's Service for informational purposes in "read-only" mode.
For Tournament participation, the User must fill out a Gaming Profile following the instructions available in the Service, including providing specific data marked as mandatory.
The list of required data may be expanded for certain Tournaments.
Additionally, Users may provide optional data at their discretion.
Participants are prohibited from changing their in-game nicknames after Tournament registration and during its conduct unless requested by the Tournament Organizer.

Account Transfer and Security

User Accounts are intended for personal non-commercial use.
Users are informed and agree that the information provided when opening their Account establishes their identity.
Users guarantee that all provided information is accurate and up to date.
Users undertake to update this information in their Account immediately upon any changes to ensure it always meets these criteria.
Users are not authorized to share their Account or login credentials, or allow anyone else to access their Account or perform any actions that may compromise Account security.
Users must keep their login and password confidential.
In case a User becomes aware of or reasonably suspects any security breach, including any loss, theft, or unauthorized disclosure of login credentials, the User must promptly notify Skillarea and change their login and password.
Failure to provide such timely notification may result in Skillarea being unable to guarantee the security of Account usage.
An Account may only be used by the User and cannot be transferred or sold to another User or used jointly with others.
Therefore, Users must ensure the confidentiality of their Account information.
Sharing the password with third parties, including friends, children, spouses, or colleagues, is prohibited.
In case of joint use of an Account or its transfer to others in violation of this clause, the User may be held responsible for the conduct and actions of persons using their Account, including violations of the User Agreement.

Placement of Informational Messages

By voluntarily accepting the terms of this Agreement, the User grants Skillarea explicit permission to disseminate informational messages within the Application. These messages may include updates about the Application, notifications regarding new features or services, and other relevant announcements deemed necessary by Skillarea for the enhancement and maintenance of the Application.

Automated Processing of Personal Data

Skillarea is authorized to engage in automated processing activities concerning the personal data provided by the User during their interactions with the Application. These processing activities encompass a range of actions, including but not limited to:

Collection: Gathering of user-provided data.
Recordkeeping: Organizing and storing data in a systematic manner.
Systematization: Structuring data for efficient retrieval and management.
Accumulation: Aggregating collected data for analysis and utilization.
Storage: Safeguarding data in secure databases or storage systems.
Clarification (updating, modification): Ensuring the accuracy and currency of user data through updates and modifications.
Extraction: Retrieving relevant data for specific purposes or functions.
Usage: Using user data for the provision of Application features and services.
Transmission (provision, access): Facilitating access to user data as necessary for Application functionality.
Blocking: Restricting access to or usage of user data under certain circumstances.
Deletion: Permanently removing user data from Application records.
Destruction: Irrevocably erasing user data from all storage systems.

These processing activities are conducted solely for the purpose of enabling Users to access and use the features and services provided by the Application/Website. The User's consent to such processing is expressly obtained by accepting this agreement, and all processing is carried out in compliance with applicable data protection laws and regulations.

Data Protection Obligations

Skillarea is committed to ensuring the confidentiality, integrity, and security of User personal data. To fulfill this commitment, Skillarea implements a comprehensive set of legal, organizational, and technical measures aimed at safeguarding User personal data against unauthorized access, accidental loss or destruction, unlawful alteration, disclosure, or any other forms of unlawful processing.

Access to Application Services

Pursuant to the terms of the Agreement, Skillarea grants Users the right to access and redirect the Services offered by the Application through the mobile interface, enabling remote access to games via the Internet. Users are advised that their access to and use of certain games and other intellectual property within the Service may be subject to separate license agreements, terms of use, or other contractual arrangements directly between the User and the respective rights holders, developers, or operators of such games.

Functionality and Usage

Users are entitled to access and use various features and functionalities provided by the Application, including but not limited to:

Accessing information and content available within the Service.
Participating in Tournaments and other organized events.
Joining or creating Teams for collaborative gameplay experiences.
Monitoring the participation of other Users in Tournaments.
Engaging with the Service in other ways as facilitated by its functionality.

Users are further informed that certain functionalities, particularly those related to Tournament participation, may require completion of the registration process and authentication procedures to access and use such features effectively.

Tournament Participation

Access to specific functionalities within the Service, such as participation in Tournaments or organized competitive events, may be contingent upon the User's completion of the registration process and successful authentication to gain authorized access to such features. Users are encouraged to familiarize themselves with the terms and conditions governing Tournament participation, which may include additional rules, requirements, or eligibility criteria established by Skillarea.

Support Requests

Users may avail themselves of technical support services provided by Skillarea upon submitting an official request for assistance. Such requests must be directed to the Application support service via email at support@skillarea.online. Upon receipt of a valid support request, Skillarea undertakes to provide timely and appropriate assistance to address User queries, issues, or concerns related to Application usage, functionality, or technical difficulties.

Registration Note

User agrees to provide accurate, current, and complete information during the registration process and to update such information to keep it accurate, current, and complete. User is responsible for maintaining the confidentiality of their account credentials and for all activities that occur under their account. User agrees to notify the Company immediately of any unauthorized use of their account or any other breach of security.

User represents and warrants that they are at least 18 years old or of legal age in their jurisdiction to enter into this Agreement.

General Rules Related to Use

Foundational Principles and User Responsibilities

By electing to access and engage with our online gaming platform, users knowingly and willingly affirm their understanding and unequivocal acceptance of the pivotal operational mechanism governing the platform, wherein the culmination of all gaming endeavors, spanning the spectrum from triumphant conquests to humbling defeats, is meticulously orchestrated and definitively adjudicated by virtue of a meticulously engineered and rigorously scrutinized Application Programming Interface, or API.

This API, conceived, calibrated, and vigilantly maintained by a dedicated cadre of technical specialists within our team, stands as the cornerstone of our commitment to equity and integrity in every facet of gameplay, with algorithms and protocols designed to obviate bias, favoritism, or any semblance thereof, thereby ensuring that each interaction within the virtual realm transpires within the confines of fairness and impartiality.

Simultaneously, users are entrusted with the duty of safeguarding the sanctity and confidentiality of their individual account credentials, thereby erecting a bulwark against potential malfeasance or unauthorized access. Moreover, users are expected to navigate the platform with steadfast adherence to the tenets and regulations delineated within our platform policies, thereby fostering an environment of mutual respect, camaraderie, and sportsmanship among all users.

In essence, by using our online gaming environment, users pledge their adherence to a covenant predicated upon the twin pillars of technological competence and ethical rectitude, thereby supporting a standard of digital engagement characterized by transparency, integrity, and the enduring pursuit of gaming excellence.

Foundational Principles Note

By accessing our online gaming platform, users acknowledge and accept that the outcome of games, encompassing both wins and losses, is determined by an Application Programming Interface, meticulously maintained by our team to ensure fairness and integrity, while users are entrusted with the responsibility of upholding account confidentiality and adherence to platform rules.

Technical Requirements

Our Services may necessitate specific minimum technical requirements, as detailed for each respective Service. While using and accessing the Service, User acknowledges their understanding of and adherence to these minimum technical requirements essential for receiving the Service.

Furthermore, it is imperative for users to ensure a robust and stable internet connection, particularly during gameplay. A strong internet connection is crucial for the seamless operation of the Service and to ensure an optimal gaming experience. It is incumbent upon users to familiarize themselves with and adhere to these detailed provisions governing their conduct and responsibilities while using the Service. Failure to comply with these requirements may result in the inability to access the Service or may adversely affect the quality of the user experience.

By using and accessing our Services, the User acknowledges their understanding of and commitment to the specific minimum technical requirements outlined for each respective Service. The User further acknowledges the critical importance of maintaining a robust and stable internet connection, particularly during gameplay, to ensure the seamless operation of the Service and an optimal gaming experience. Additionally, the User accepts their responsibility to familiarize themselves with and adhere to these detailed provisions governing their conduct and responsibilities while using the Service. Failure to comply with these requirements may result in the inability to access the Service or may adversely affect the quality of the user experience.

In the event of a technical failure resulting in the user's inability to continue or complete the game session, any money earned or progress achieved up to the point of disconnection shall be forfeited by the user. Skillarea shall not be liable for any damages, losses, or inconvenience incurred by the user as a result of such technical failures or disconnections. The user acknowledges and accepts the inherent risks associated with online gaming, including but not limited to interruptions due to technical issues, and agrees to hold Skillarea harmless from any claims or demands arising from such incidents.

Limited Right to Access

Skillarea grants you a limited, revocable, non-transferable right to access and use the Services. Skillarea reserves the right to refuse any user access to the Service without notice if the user violates these Terms and Conditions. To the fullest extent permitted by law, you agree that Skillarea may suspend or discontinue the Service, or any feature or application thereof, or change the content of the Service at any time, for any reason, with or without notice, and without liability.

The Services may not be authorized for use in certain jurisdictions that are subject to embargoes or economic sanctions, as applicable. You may not use the Services if you do not have the legal capacity under applicable law to agree to the Terms. We may require proof of age, for example, the month and/or year of birth, or we may require parental or legal guardian consent at any time. We also reserve the right to block users if we suspect they are under the applicable age.

Skillarea can change, update, or add or remove provisions of these Terms at any time by posting the updated Terms on the Service. By using the Service after Skillarea has updated the Terms, you are agreeing to all the updated Terms. If you do not agree with any of the updated Terms, you must stop using the Service.

Tournament Rules

To maintain the integrity and operational efficacy of its Services, Skillarea establishes and enforces a comprehensive set of tournament rules, subject to periodic updates and publication. These regulations serve a multifaceted purpose, encompassing the management of user conduct, preservation of equitable gameplay standards, and cultivation of a conducive gaming environment. Covering a diverse array of aspects, the tournament rules address not only individual behavior within the gaming environment but also inter-player interactions, guidelines for in-game transactions, adherence to community standards, and protocols for resolving disputes or conflicts. Skillarea tailors these regulations to each specific tournament, considering its unique mechanics, objectives, and player dynamics. They may delineate permissible actions, prohibited behaviors, repercussions for infractions, and mechanisms for reporting violations. Accessible within the tournament interface or accompanying documentation, these rules serve as an indispensable reference point for participants, fostering transparency, clarity, and accountability. Skillarea encourages all participants to acquaint themselves with these regulations to ensure harmonious engagement and optimal enjoyment of the tournament experience. Additionally, Skillarea reserves the right to require users to download and install updates to the Service without prior notice or liability. Users acknowledge and agree that such updates may alter system specifications required for the Mobile Application/Website, and therefore they are responsible for acquiring any necessary additional software and/or hardware to access and use the Application/Website. Users further acknowledge that when an upgrade is available, previous versions may cease to be available or supported by Skillarea.

User Conduct and Obligations

Acceptable Use

User agrees to employ the Service in strict compliance with all applicable laws, regulations, and the provisions set forth in this Agreement. User commits to conducting themselves in a manner that upholds legal standards, avoids offense, prevents harm, and respects the rights of others.

Prohibited Conduct

Transmitting or uploading content that violates intellectual property rights, contains obscenity, defamation, or other objectionable material.
Intentionally disrupting or impairing the integrity or performance of the Service or its underlying data.
Attempting unauthorized access to the Service or any associated systems or networks.
Using the Service for commercial purposes without obtaining explicit written consent from the Company.

User Content

User acknowledges and accepts that any content they upload or transmit via the Service is solely their responsibility. By doing so, User grants the Company an extensive, worldwide, royalty-free, sublicensable, and transferable license to use, reproduce, distribute, and publicly display said content in connection with the provision of the Service. It is imperative that User comprehends and adheres to these terms governing their behavior and responsibilities while using the Service. Failure to comply with these provisions may result in the suspension or termination of access to the Service, as well as potential legal repercussions.

Users Are Expected To

Respect the Application's integrity and refrain from commercial exploitation without authorization.
Preserve the Application's integrity by avoiding modifications or disruptions.
Uphold honesty and authenticity, refraining from impersonation or misuse of accounts.
Adhere to security protocols and refrain from attempting to bypass them.
Ensure the digital environment remains safe and free from harmful content or violations of community standards.

User Responsibilities and Prohibited Activities

As a user of the platform, User is entrusted with certain obligations to maintain the integrity of the services.

Reproducing, duplicating, selling, or otherwise exploiting the Application and its services for commercial gain without express consent.
Modifying, translating, decompiling, or attempting to reverse-engineer any part of the Application.
Using the Application to infringe upon the rights of third parties.
Creating multiple accounts within the Service under the same identity.
Impersonating others or gaining unauthorized access to external accounts through the Service.
Using scripts for automated data collection or interaction with the Application.
Accessing statistics or obtaining login credentials through deceptive or unauthorized means.
Attempting to circumvent security measures, including IP address blocking.
Engaging in activities not specified in this Agreement or beyond the normal use of the Application.
Posting content that violates international or local regulations or infringes upon the rights of others, including extremist content, violence incitement, or illegal substance propaganda.
Uploading malicious files that disrupt the Application's operation or harm other users.
Distributing unwanted advertisements, spam, or pyramid schemes.
Falsifying identities to deceive others.
Disclosing personal data of other users.
Violating applicable laws, this Agreement, or game license agreements.

By abiding by these guidelines, User contributes to the safety and integrity of the Skillarea platform for all users.

Intellectual Property Rights

Ownership: It is expressly acknowledged and recognized that all intellectual property rights vested in the Service and its associated content, inclusive but not limited to trademarks, copyrights, and proprietary information, are unequivocally and exclusively held by the Company or its licensors.
License Grant: The User affirms their understanding that they hold no proprietary or ownership rights whatsoever in relation to the Service or its attendant content. However, the User is granted a limited, revocable, and non-exclusive license, expressly restricted to the purposes explicitly set forth within this Agreement, thereby facilitating their use of the Service within the parameters outlined herein.

Payment

The cash prize, upon determination of eligibility and successful completion of any required verification processes, shall be promptly credited to the user's designated wallet account associated with the platform or service through which the prize was won.
The credited amount shall be made available for withdrawal by the user at their discretion.
Withdrawal processing times may vary based on factors such as the user's chosen withdrawal method, banking regulations, and similar factors.
The user acknowledges that while every effort will be made to facilitate prompt and efficient withdrawals, unforeseen circumstances or technical limitations may occasionally result in delays or interruptions to the withdrawal process. Skillarea shall not be liable for any damages, losses, or inconvenience incurred by the user as a result of such delays or interruptions, provided that Skillarea exercises reasonable diligence in processing withdrawal requests.
By accepting the cash prize and using the associated wallet account, the user acknowledges and agrees to comply with all applicable terms and conditions governing withdrawals, as well as any additional policies or guidelines established by the applicable legislation. Failure to adhere to these terms may result in delays or restrictions on the user's ability to withdraw funds, or in more severe cases, suspension or termination of the user's account privileges.

Tournament Organization Guideline and Prize Distribution Terms

General Rules of Tournament Organization

At its sole discretion, the Tournament Organizer determines the list of Users eligible to participate in the Tournament.
The Tournament Organizer, Skillarea, decides on the admission of a User or Team to participate in the Tournament and the payment of any fees for participation.

Conditions for Prize Distribution

The cash prize, upon determination of eligibility and successful completion of any required verification processes, shall be promptly credited to the user's designated wallet account associated with the platform or service through which the prize was won. This credited amount shall be made available for withdrawal by the user at their discretion, subject to any applicable terms and conditions governing withdrawals, including but not limited to minimum withdrawal thresholds, transaction fees, and withdrawal processing times.

It is understood that the user assumes full responsibility for managing their wallet account and any associated transactions, including but not limited to monitoring account balances, initiating withdrawals in a timely manner, and complying with all relevant regulatory requirements. The platform or service provider shall not be liable for any loss or damages arising from the user's failure to properly manage their wallet account or execute withdrawal transactions in accordance with established procedures.

By accepting the cash prize and using the associated wallet account, the user acknowledges and agrees to abide by the terms and conditions outlined herein, as well as any additional terms and conditions set forth by the platform or service provider governing the use of wallet accounts and withdrawal processes. Failure to comply with these terms may result in forfeiture of the cash prize and/or suspension or termination of the user's account privileges.

User Content and Interaction

By transmitting or submitting any User Content, the User acknowledges, assures, and guarantees that such transmission or provision is accurate and non-confidential, does not violate the Agreement, any applicable laws and regulations, or the rights of third parties, that the User has permission from any third party whose personal information or intellectual property is included in the User Content, that such User Content does not contain viruses, adware, spyware, worms, or any other malicious code, and that the User acknowledges and agrees that any of their personal information within such content will always be processed by Skillarea in accordance with the Personal Data Processing Policy.
Skillarea reserves the right, at its sole discretion, to review, monitor, prohibit, edit, delete, disable access, or otherwise make unavailable any User Content without prior notice. Skillarea does not conduct prior verification or control and cannot pre-screen or control all User Content.
The User acknowledges and agrees that they use the Application at their own risk. By using the Application, the User may encounter inappropriate content from other Users, which is offensive, indecent, or otherwise not in line with their expectations. The User assumes all risks associated with using any User Content of other Users available within the Application. At the discretion of Skillarea's representatives, they may monitor and/or record the User's interaction within the Application or interactions with other Users. By entering into this Agreement, the User hereby gives their irrevocable consent to such monitoring and recording.
The User is fully responsible for the User Content, including the content of messages sent or publicly posted within the Application. This means that the User is entirely responsible for all User Content that the User uploads, sends, receives, transmits, or otherwise makes available within the Application. Skillarea does not control User Content, therefore it does not guarantee the accuracy, completeness, or quality of the User Content.
By posting any User Content in forums, chats, or other virtual spaces intended for communication, the User agrees not to upload, transmit, publish, or otherwise distribute inappropriate content, including the categories listed below.

Inappropriate Content

User Content that infringes any intellectual property rights, including any rights, licenses, or consents, existing under copyright, patents, trademarks, service marks, database rights, rights to extract data, registered and unregistered industrial designs, rights to layouts of schematics and semiconductor topographies, trade secrets, rights of confidentiality, whether registered or not, applications, and renewals in respect of any of the foregoing and all other similar rights recognized anywhere in the world.
Erotic or pornographic User Content.
User Content that is offensive to any other person and/or causes harm to third parties or public morality.
Unlawful, harmful, dangerous, or indecent User Content, as well as User Content containing discriminatory information regarding other persons based on gender, race, nationality, religious beliefs, sexual orientation, and other prohibited grounds.
Commercially advertising User Content or content that attracts attention to any goods or services.
Uploading, transmitting, publishing, or otherwise distributing User Content that contains personal information or confidential data about any person, or otherwise violates the legitimate rights, such as privacy and publicity rights, of any person.

Responsibilities and Liability

Skillarea does not provide any warranties regarding the suitability of the Application for specific purposes and expectations of the User, nor does it provide any other warranties not explicitly stated in the Agreement. Under no circumstances shall Skillarea be liable to the User for any losses, including any direct, indirect, intentional, incidental, or consequential losses of any kind arising from this Agreement or from the use or inability to use the Application, including but not limited to losses resulting from damage to business reputation, cessation of operations, technical failure, accident, or malfunction, or any commercial losses, costs, or damages, as well as loss of profits or unjust enrichment.
Skillarea takes all reasonable measures and performs any necessary actions to ensure the security of the User's personal data and the proper functioning of the Application. Skillarea shall not be liable for the User's transmission of information to third parties using the Application, as well as in cases where information from the Application becomes available to third parties as a result of their unauthorized access to the Device or actions of a virus or other malware on the Device.
Skillarea shall not be liable for the impossibility of using the Application due to circumstances beyond its control and reserves the right to provide Application functionality in a limited mode or to disable certain features within the Application at any time at its discretion.
The Agreement does not grant the User any rights to use intellectual property objects, including trademarks and service marks of Skillarea or its partners, except for the rights granted by this Agreement.
Skillarea does not control the content posted, transmitted, or used in the Application and does not initiate the transmission of content and/or information posted by the User in the Application, and is not responsible for it. The User bears sole personal responsibility for any content or other information that they post, transmit, and/or use in the Application or with its help. In the event of claims against Skillarea for violation of the rights of third parties, as well as upon receipt of relevant requests from authorized state authorities regarding violation of applicable law in connection with the posting, use, or transmission of content and/or information by the User and/or in case of corresponding risks, Skillarea has the right to delete the relevant content and/or information.
For failure to perform or improper performance of obligations undertaken by the User under the Agreement, the User shall be liable in accordance with the legislation of the applicable country. The User shall be solely responsible to third parties for their actions related to the creation and posting of information in the Application, including compliance with the content and usage requirements of applicable legislation.

Skillarea independently determines the fact of violation of the Agreement by the User, including the rules and regulations. In the event of a violation of the Agreement by the User, including Special Rules and Regulations, Skillarea has the right to apply the following sanctions to the User, depending on the severity of the violation committed by the User and its adverse impact on other Users:

Issue a warning in any form, including by email and/or personal message in the User's Account.
Delete any User Content.
Rename, only if necessary, for example, an offensive name, any element created and/or posted by the User in the Application.
Temporarily restrict certain functionality of the User Account or Application functionality.
Restrict the use of certain Services in full or in part.
Delete or block the User Account.

Skillarea undertakes to make reasonable efforts to provide the User with explanations regarding which terms of this Agreement have been violated by the User, as a result of which Skillarea has applied sanctions. Term and Termination
